Abstract

The transformation program of Government-Linked Companies (GLCs) in 2006 was aimed at improving the performance of federally-owned Malaysian GLCs. Initiated by Putrajaya Committee on GLC High Performance (PCG), the program has recommended a template and assessment grid for GLCs to determine the effectiveness of their Board of Directors (BOD). The present study attempts to examine the applicability of these mechanisms to state-owned GLCs. The main objectives are to determine: (i) the level of matching between the criterion for federal and the state GLCs’ board structure; and (ii) the relationship between board structures and financial performance of state GLCs. All 29 publicly listed state GLCs in Malaysia will be studied. Data covering a period (2008 – 2012) will be obtained from the published annual reports. Four corporate governance variables to be examined are: (i) the size of the board; (ii) the proportion of independent non-executive directors on board; (iii) the separation of roles between Chairman and CEO; and (iv) the literacy of directors. A panel data regression analysis will be conducted to assess the relationship between board structure and financial performance. The study will provide recommendations for State Economic Development Corporations (SEDCs) on the board effectiveness of state GLCs performance.
